Terms of Service

These Terms of Service ("Terms") govern your access to and use of numanknows (the "Service"). By creating an account or using the Service, you agree to these Terms.

The Service

numanknows is an acquisition search workspace for buyers pursuing small business acquisitions, including SBA-financed deals. The Service aggregates business listings — sourced from brokers, partners, and other listing sources — and helps buyers organize search criteria, evaluate listings, and track deals through a pipeline. numanknows may expand its listing sources and marketplace features over time; any such features remain oriented around the buyer's experience.

Not professional advice

numanknows, including any AI-generated analysis, scoring, or recommendations, is provided for informational and educational purposes only. It does not constitute legal, tax, financial, investment, or lending advice, and is not a substitute for advice from qualified attorneys, accountants, lenders, or other licensed professionals. You are solely responsible for your acquisition decisions and should seek professional advice before entering into any transaction.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account or otherwise using the Service, you represent that you meet these requirements.

Accounts and organizations

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• If you create or join an organization within the Service, members of that organization may be able to view shared pipeline and search data, depending on their role.

Acceptable use

Your use of the Service is also governed by our Acceptable Use Policy. Violations of that policy may result in suspension or termination of your account.

Listing data and third-party sources

The Service may display business listing information sourced from third-party marketplaces, partners, or your own watchlist submissions. We do not guarantee the accuracy, completeness, or availability of this data, and listings may be removed, change, or expire without notice. Where AI-generated analysis is shown, it reflects an automated assessment and may be incomplete or incorrect — always verify facts against the original source.

Subscriptions and billing

The Service is offered under paid subscription plans, billed through our payment processor (Stripe). Current plans, pricing, and what each includes are described on our Pricing page and are subject to change; we will communicate material pricing or plan changes before they take effect. Subscriptions bill immediately upon signup for a paid plan and renew automatically each billing period until cancelled. Some plans include usage-based components (for example, per-seat or per-usage charges beyond an included allowance); these are billed in arrears based on actual usage. You can manage or cancel your subscription at any time through your account billing settings.

Intellectual property

numanknows and its original content, features, and functionality are owned by numanknows and are protected by applicable intellectual property laws. You retain ownership of the search criteria, notes, and other content you submit to the Service.

Termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, or if required by law.

Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, numanknows will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service, including any decisions made based on listing data or AI-generated analysis.

Indemnification

You agree to indemnify and hold numanknows, its officers, employees, and agents harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms or the Acceptable Use Policy, or your violation of any rights of a third party.

Copyright complaints

If you believe content displayed in the Service infringes your copyright, send a notice to legal@numanknows.com including: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the allegedly infringing material and where it appears in the Service; (3) your contact information; (4) a statement that you have a good-faith belief the use is unauthorized; and (5) a statement, made under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the copyright owner. We will respond in accordance with applicable law, including by removing or disabling access to the material where appropriate.

Dispute resolution

Before filing a claim against numanknows, you agree to first contact us at legal@numanknows.com and attempt to resolve the dispute informally. If we're unable to resolve the dispute informally within 30 days, either party may bring a claim in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts for that purpose.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

General provisions

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
• Entire agreement. These Terms, together with the Acceptable Use Policy and Privacy Policy, constitute the entire agreement between you and numanknows regarding the Service, and supersede any prior agreements on the subject.
• No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
• Force majeure. We are not liable for any failure or delay in performance resulting from causes outside our reasonable control.

Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
